conditions of the Settlement Agreement between the City and the Guerin <br />Family Partnership. <br />8. Subdivision of Redevelopment Properties. The City agrees to cooperate <br />with Redeveloper's efforts to subdivide the Redevelopment Properties for conveyance to <br />the various ownership entities and agrees that if Redeveloper determines it is necessary to <br />subdivide the Redevelopment Properties prior to conveyance, subject to its legislative <br />judgment, the City will execute a plat of subdivision prepared at the expense of <br />Redeveloper upon execution of the final Development Agreement covering such <br />Property. The parties agree that the plat of subdivision shall dedicate the north 10 feet of <br />the Southeast Property as additional right -of -way for Little Canada Road to allow <br />completion of the streetscape planned for the area. <br />9. Construction of Improvements. The minimum improvements for both <br />Redevelopment Projects shall be constructed pursuant to plans that are developed with <br />and approved by the City as part of the final Development Agreement. Said plans shall <br />be developed in accordance with the Rice Street /Little Canada Road District <br />Architectural Guidelines dated June 1996 a copy of which Redeveloper hereby <br />acknowledges receipt. <br />10. Redeveloper Contingencies. Redeveloper acknowledges that the <br />completion of the Redevelopment Projects is a high priority for the City. The <br />Redeveloper agrees that the contingencies in Redeveloper's favor set forth in the <br />Development Agreement shall be limited to title and survey matters, environmental and <br />soil conditions matters, obtaining governmental approvals, including approvals of <br />construction plans, financing and the satisfaction by the City of its obligations under the <br />Development Agreement. <br />11. Redeveloper Guaranty. The parties agree that the final Development <br />Agreements will provide for repayment of the City's costs for land assembly, demolition, <br />legal, administrative, real estate taxes, and consultant's fees associated with the <br />acquisition of the Southeast Property which are estimated to be approximately $2 to 2.2 <br />million subject to provisions for public assistance as described in Section 7 of this <br />Agreement. The repayment terms included in the Development Agreements shall result in <br />approximately 50% of the repayment amount being made upon closing the Redeveloper's <br />financing and the balance upon the completion of the For Sale Housing Component. <br />5 <br />
