EXHIBIT D [Space Above this Line for Recording Office Use Only PARKING EASEMENT AGREEMENT THIS PARKING EASEMENT AGREEMENT, is made as of this day of August, 2003, by HERITAGE JABEZ LLC, a Minnesota limited liability company ( "Heritage ") and INTERNATIONAL UNION OF PAINTERS AND ALLIED TRADES DISTRICT COUNCIL 82 BUILDING CORPORATION, INC., a Minnesota non - profit corporation ( "Painters "). WITNESSETH: WHEREAS, Heritage is the owner of certain land in the City of Little Canada, County of Ramsey, State of Minnesota, legally described as Lot 1, Block 1, Drywall Supply Addition (the "Heritage Lot "), and Painters is the owner of certain land in the City of Little Canada, County of Ramsey, State of Minnesota, legally described as Lot 3, Block 1, Drywall Supply Addition (the "Painters Lot "); and WHEREAS, Heritage has agreed to grant to Painters, its successors and assigns, an easement (the "Parking Easement ") to use up to eighty (80) undesignated parking spaces on the Heritage Lot between the hours of 6:00 P.M. and Midnight on not more than twenty (20) occasions per year, on the terms and conditions set forth in this Agreement; NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Heritage hereby grants and conveys the Parking Easement and the parties further agree as follows: ARTICLE I GRANT OF PARKING EASEMENT; APPURTENANCE TO PAINTERS LOT 1.1 Grant of Parking Easement; Notice of Use. Heritage hereby grants and conveys to Painters, its successors and assigns, employees, agents, visitors and invitees, an easement to use for automobile parking up to eighty (80) of the parking spaces from time to time located on the Heritage Lot, between the hours of 6:00 P.M. and Midnight on not more than twenty (20) days per calendar year, together with the right of ingress and egress over and across the access roads and -25- i
