EXHIBIT D <br />[Space Above this Line for Recording Office Use Only <br />PARKING EASEMENT AGREEMENT <br />THIS PARKING EASEMENT AGREEMENT, is made as of this day of August, <br />2003, by HERITAGE JABEZ LLC, a Minnesota limited liability company ( "Heritage ") and <br />INTERNATIONAL UNION OF PAINTERS AND ALLIED TRADES DISTRICT COUNCIL <br />82 BUILDING CORPORATION, INC., a Minnesota non - profit corporation ( "Painters "). <br />WITNESSETH: <br />WHEREAS, Heritage is the owner of certain land in the City of Little Canada, County of <br />Ramsey, State of Minnesota, legally described as Lot 1, Block 1, Drywall Supply Addition (the <br />"Heritage Lot "), and Painters is the owner of certain land in the City of Little Canada, County <br />of Ramsey, State of Minnesota, legally described as Lot 3, Block 1, Drywall Supply Addition <br />(the "Painters Lot "); and <br />WHEREAS, Heritage has agreed to grant to Painters, its successors and assigns, an <br />easement (the "Parking Easement ") to use up to eighty (80) undesignated parking spaces on the <br />Heritage Lot between the hours of 6:00 P.M. and Midnight on not more than twenty (20) <br />occasions per year, on the terms and conditions set forth in this Agreement; <br />NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is <br />hereby acknowledged, Heritage hereby grants and conveys the Parking Easement and the parties <br />further agree as follows: <br />ARTICLE I <br />GRANT OF PARKING EASEMENT; APPURTENANCE TO PAINTERS LOT <br />1.1 Grant of Parking Easement; Notice of Use. Heritage hereby grants and conveys to <br />Painters, its successors and assigns, employees, agents, visitors and invitees, an easement to use for <br />automobile parking up to eighty (80) of the parking spaces from time to time located on the <br />Heritage Lot, between the hours of 6:00 P.M. and Midnight on not more than twenty (20) days per <br />calendar year, together with the right of ingress and egress over and across the access roads and <br />-25- <br />i <br />
