1450998v3 <br />Incorporation and Bylaws (the "CIC Documents ") to the City of Little Canada for review <br />and must obtain the City's approval of the CIC documents before the Developer begins <br />marketing Common Interest Community units in the Project to the public. The City's <br />review and approval rights are limited to the provisions of the CIC Documents relating to <br />Association's obligations with respect to the maintenance, repair and replacement of <br />private streets, utility lines and drainage ponds located within the Common Interest <br />Community and the establishment and maintenance of reserve funds to finance the cost <br />of such maintenance, repair and replacement obligations. Absent the City's consent to a <br />modification, the provisions of the final CIC documents that are within the scope of the <br />City's review and approval rights must conform to the provisions of the drafts the <br />Developer submits to the City for review and approval. <br />_77_ <br />- 2 5 - <br />
