plans; (e) foundation plans; (f) floor plans for each proposed building type; (g) exterior <br />elevations (all sides) for each proposed building type; and (h) plans for streetscapes <br />adjacent to abutting public streets. The Construction Plans must be as detailed as the <br />plans, specifications and related documents the City requires in connection with the <br />issuance of a building permit. <br />2.9. "County" means Ramsey County, Minnesota. <br />2.10. 'Developer" means The Village at Little Canada LLC, a Minnesota <br />limited liability company. <br />2.11. "Development Property" means the real property described on Exhibit A <br />and any improvements now or hereafter located thereon, including, but not limited to, the <br />Minimum Improvements. The Development Property consists of Parcel 1, Parcel 2, <br />Parcel 3, and Parcel 4. <br />2.12. "EDA" means the Economic Development Authority of the City of Little <br />Canada. <br />2.13. "Environmental Law" means the Comprehensive Environmental <br />Response, Compensation and Liability Act, 42 U.S.C. Section 96.01 et seq., the Resource <br />Conservation and Recovery Act, 42 U.S.C. Section 69.01 et seq., the Hazardous <br />Materials Transportation Act, 49 U.S.C. Section 1802 et seq., the Toxic Substances <br />Control Act, 15 U.S.C. Section 2601 et seq., the Federal Water Pollution Control Act, 33 <br />U.S.C. sec. 1251 et seq., the Clean Water Act, 33 U.S.C. Section 1321 et seq., the Clean <br />Air Act, 42 U.S.C. sec. 7401 et seq., the Minnesota Environmental Response and <br />Liability Act, Minnesota Statutes ch. 115B, the Minnesota Petroleum Tank Release <br />Cleanup Act, Minnesota Statutes ch. 115C, and any other federal, state, county, <br />municipal, local or other statute, law, ordinance or regulation which may relate to or deal <br />with human health or the environment, all as may be from time to time amended. <br />2.14. "Event of Default" means any of the Events of Default described in <br />Section 12.1. <br />2.15. "Excess Tax Increment" means, as of the Maturity Date, the cumulative <br />amount by which Tax Increments derived from the TIF District through the Maturity <br />Date are greater than the amount needed for such period to pay the scheduled principal <br />and interest payments on the TIF Bonds, less the then Outstanding Townhome Tax <br />Increment Shortfall, if any, and less any expenditures of Tax Increments made by the <br />EDA (other than the TIF Bond payments); provided that, notwithstanding the foregoing, <br />Excess Tax Increment will not be less than the cumulative amount by which Tax <br />Increments derived from the Development Property and the Townhome Development <br />Property through the Maturity Date are greater than the Projected Tax Increment, less the <br />then Outstanding Townhome Tax Increment Shortfall, if any. <br />2.16. "Guaranty" means a personal guaranty of George E. Sherman, in <br />substantially the form of the pro forma guaranty attached as Exhibit E, pursuant to which <br />George E. Sherman personally guarantees Developer's obligation to pay real estate taxes <br />-2- <br />
