2.12. 2.10. "City Loan" means the loan described in Section 6.1. <br />2.13. 2.11. "Condemnation Award" means the amount remaining from an award <br />to the Developer for the acquisition of title to and possession of the Development <br />Property, or any part thereof, after deducting all reasonable expenses (including <br />reasonable fees and disbursements of counsel) Developer incurs to collect the award. <br />2.14. 2.12. "Construction Commencement Date" has the meaning set forth in <br />Section 8.3. <br />2.15. 2.13. "Construction Completion Date" has the meaning set forth in Section <br />8.3. <br />2.16. 2.11. "Construction Plans" means the Developer's plans and specifications <br />for the Developer's construction of the Minimum Improvements and related documents. <br />The Construction Plans must include at least the following: (a) site plans; (b) site grading <br />and drainage plans; (c) foundation plans; (d) basement plans, if any; (e) floor plans for <br />each floor; (f) cross sections of each floor (length and width); (g) exterior elevations (all <br />sides); and (h) landscape plans. The Construction Plans must be as detailed as the plans, <br />specifications and related documents which the City requires in connection with the <br />issuance of a building permit. <br />2.17. 2.15. "County" means Ramsey County, Minnesota. <br />2.18. "Cumulative Cash Flow" means the sum of the Annual Cash Flow <br />for each Fiscal Year from and including the year in which the City issues a <br />temporary certificate of occupancy for the Minimum Improvements through and <br />naduagthe end of a Fiscal Year, if Cumulative Cash Flow is being calculated to <br />determine if Excess Annual Cash Flow exists in that Fiscal Year, and through the <br />Maturity Date, if Cumulative Cash Flow is being calculated for purposes of Section <br />6 3(el. <br />2.19 "Debt Service" means, for any Fiscal Year, the sum of the payments <br />of principal and interest the Developer is required to make and actually makes <br />under the terms of the First Mortgage Loan. <br />2.20, 2.16. "Developer" means , a <br />2.21. 2.17. "Developer Documents" means this Agreement, the Assessment <br />Agreement, the Purchase Agreement, the Developer Note and the Developer Mortgage. <br />2.22. 2.18. "Developer Mortgage means the Mortgage, Assignment of Rents <br />and Profits, Security Agreement and Fixture Financing Statement the Developer grants to <br />the City to secure the Developer's performance of Developer's obligations under the <br />Developer Note.
