purchasing and contracting requirements of the county selected pursuant to Article VII, Section 4 <br />shall apply to the Task Force. <br />Section 4: Indemnification <br />The Task Force shall acquire such insurance protection as is necessary, and shall defend, <br />indemnify, and hold harmless all parties to this agreement and their officers, agents and employees <br />from all claims, losses, damages, costs, injury and liability of any kind, nature, and description <br />indirectly or directly arising from the performance of any of the activities of the Task Force or <br />activities undertaken pursuant to this agreement. Neither the procuring of insurance or any other <br />provision of this paragraph shall be construed as or operate as a waiver of any member's statutory <br />or common law immunities or limitations on liability. <br />The Task Force shall defend, indemnify, and hold harmless all parties to this agreement and their <br />officers, agents and employees from all claims, losses, damages, costs, injury and liability of any <br />kind, nature, and description indirectly or directly arising from the performance of any of the <br />activities of the Task Force or activities undertaken pursuant to this agreement. Neither the <br />procuring of insurance or any other provision of this paragraph shall be construed as or operate as <br />a waiver of any member's statutory or common law immunities or limitations on liability. <br />The Task Force may assess all members for contributions required to perform the obligations of this <br />Article V; Section 4. <br />ARTICLE VII. FUNDING <br />Section 1: Initial Funding. <br />It is understood by the parties that the activities and duties of the Task Force are to be funded <br />primarily by grant monies from the United States Government, the State of Minnesota or any other <br />association or agency. Nevertheless, the Contributing Regional Railroad Authorities agree to <br />contribute funding, if necessary, for the start-up and administrative expenses of the Task Force (to <br />the extent not covered by grant funds). <br />Page 69 <br />
