Canada Transit Hub Project until the Council has approved such amendment or change. The <br />Council's approval will not be unreasonably withheld. <br />3.06 Non - Employee Status. The City agrees that any and all of its employees and all <br />other persons and Contractors employed by the City in the performance of any work or services <br />required or provided under this agreement, shall not be considered employees of the Council. <br />3.07 Ownership. Notwithstanding the payment of funds by the Council, upon <br />completion of the Project, the City shall take ownership and responsibility for maintenance of all <br />street lighting and planters installed as part of this Project. In addition, the City retains control of <br />all street right of way improved as part of this Project. The Council will retain ownership of the <br />passenger waiting shelters, and all appurtenances related to the shelters, installed by the Council <br />as part of this Project. <br />IV. PAYMENT OF PROJECT COSTS <br />4.01 Council Funding Contribution. The Council will pay to the City all costs <br />associated with the City's construction of this Project, except for costs for purchase or <br />installation of passenger waiting shelters or other costs incurred directly by the Council in <br />design, construction, or completion of the Project. <br />4.02 Accounting Requirements. Within thirty (30) calendar days after the effective <br />date of this agreement, the Council will transfer to the City the amount of $70,000.00. The City <br />will deposit the funds in a separate Project account which it shall manage. The City shall <br />disburse funds from the account in payment for the Contractor's services in accordance with <br />billings received and the payment schedule in the City's contract with the Contractor. The City <br />may also disburse funds from the account on payment of the City's administrative costs for <br />Project work. If, at any time before completion of construction, the account balance falls below <br />$10,000.00, the City may request additional funds from the Council. <br />Page 137 <br />
