If at the end of the second 30 day period, the parties have not reached <br />agreement, this Letter of Intent shall terminate and neither party shall <br />have any further obligation to the other in regard to this matter. <br />6. Documents Needed The Seller to provide copies of the following to Buyer: <br />to Close Checklist: <br />a) Seller's existing ALTA extended title insurance policy. <br />b) A Phase I Environmental Survey dated not less than twelve (12) <br />months prior to the Closing Date. <br />c) An ALTA survey, showing land, easements, right -of -way, and <br />utility lines and pipes. <br />d) All additional pertinent environmental and engineering reports <br />regarding the property in Seller's possession. <br />e) Such other documents as may be specified in the Purchase <br />Agreement. <br />7. Development Period: Buyer shall have one hundred eighty (180) days after full execution of <br />a Purchase Agreement to design a development plan for the property. <br />During the 180 day period, the Buyer will perform a number of tasks <br />that will advance the development plan. These will include, but not be <br />limited to, a Site Plan which will be submitted to the City within 120 <br />days of the full execution of the Purchase Agreement. <br />8. Seller Agreement: <br />Sellers agree that they will not enter into any agreements, <br />negotiations, or discussion with other developers on this property <br />during the 30 day period. <br />9. Acceptance: This Letter of Intent shall be open for acceptance until Thursday, <br />April 27, 2000 at 12:00 PM CDST. <br />This Letter of Intent shall constitute an agreement to, in good faith, sell and purchase at the price and <br />terms outlined herein. Purchase Agreement to contain additional terms and conditions.
