This NOTE shall be governed by, interpreted, construed and enforced in accordance <br />with the laws of the State of Minnesota. The undersigned hereby consents to the <br />jurisdiction of the State and Federal Courts located in the State of Minnesota in <br />connection with any controversy related to this NOTE, waives any argument that <br />venue in such forum is not convenient and agrees that any litigation instigated by <br />MAKER against the AUTHORITY in connection with this NOTE, the <br />AGREEMENT. or any document or instrument accruing payment of this NOTE shall <br />be venued in either the District Courts of Ramsey County, Minnesota or the United <br />States District Court for the District of Minnesota, Third Division. <br />9.
