directly to the Developer, and the Developer will <br />forthwith repair, reconstruct and restore the Minimum <br />Improvements to substantially the same or an improved <br />condition or value as they existed prior to the event <br />causing such damage and, to the extent necessary to <br />accomplish such repair, reconstruction and restoration, <br />the Developer will apply the Net Proceeds of any <br />insurance relating to such damage received by the <br />Developer to the payment or reimbursement of the costs <br />thereof. <br />(e) The Developer shall complete the repair, <br />reconstruction and restoration of the Minimum <br />Improvements, whether or not the Net Proceeds of <br />insurance received by the Developer for such purposes <br />are sufficient. <br />Section 5.3. Condemnation. In the event that title to <br />and possession of the Minimum Improvements or any other <br />material part thereof shall be taken in condemnation or by <br />the exercise of the power of eminent domain by any <br />governmental body or other person (except the City), so long <br />as the Assessment Agreement shall remain in effect, the <br />Developer shall, with reasonable promptness after such <br />taking, notify the City as to the nature and extent of such <br />taking. <br />Section 5.4. Reconstruction or Payment. Upon receipt <br />of any Condemnation Award or property insurance proceeds, <br />the Developer shall use the entire Condemnation Award to <br />reconstruct the Minimum Improvements (or, in the event only <br />a part of Minimum Improvements have been taken, then to <br />reconstruct such part) upon the Development Property or <br />elsewhere within the Tax Increment District; provided, <br />however, that the Developer may instead elect to pay to the <br />City out of the Condemnation Award or property insurance <br />proceeds, if and to the extent any such Condemnation Award <br />or property insurance proceeds are sufficient for such <br />purpose the sum of $1,950,000 for the Phase I Development <br />Property and $600,000 for the Phase II Development Property. <br />1054867.2 <br />Page 70 <br />
