B. Publication by either the UNIVERSITY or the SPONSOR shall credit <br />the other for the cooperative nature of the said work. <br />Commercial brands or trade names shall not appear in such <br />publication, except as necessary to describe the said work; nor <br />shall the names of the UNIVERSITY or of the SPONSOR be used <br />for advertising purposes. <br />C. Prior to publication, either the UNIVERSITY or the SPONSOR shall <br />provide a copy of the proposed publication to the other party <br />for review and comment before publicizing the results of the <br />said work. <br />ARTICLE XI - Rights in Data and Copyright <br />A. The term "Subject Data" as used herein includes research data and <br />reports, writings, sound recordings, pictorial reproductions, <br />drawings or other graphical representations, and works of any <br />similar nature (whether or not copyrighted), which the <br />UNIVERSITY shall deliver to the authorized representative of <br />the SPONSOR pursuant to ARTICLE IV, above. The term does <br />• not include financial reports, and materials, books, records, and <br />other evidence incidental to contract administration. <br />B. The UNIVERSITY shall own all copyrights arising from the Subject <br />Data. However, if the University chooses not to obtain such <br />copyrights, the SPONSOR may secure them. <br />C. In the event that either the UNIVERSITY or the SPONSOR secures a <br />copyright pursuant to ((B) above, such party (the Licensor) <br />hereby grants to the other (the Licensee) a royalty -free, <br />nonexclusive, and irrevocable license to publish, translate, <br />reproduce, deliver, perform, dispose of, ad to authorize others <br />to do so for the Licensee's use, all Subject Data now or hereafter <br />covered by copyright: Provided that with respect to Subject <br />Data originating outside of this contract but incorporated into <br />the Subject Data furnished hereunder, such license shall b e <br />only to the extent that the Licensor has, or prior to the <br />expiration of the contract may acquire, the right to grant such <br />license without becoming liable to compensate others solely <br />because of such a grant. <br />Page 16 <br />
