<br />17 <br />Little Canada-Lupe - Borrower Loan Agreement - LC Apartments(199386221.3) - 5/12/2026 6:38:21 PM <br />Project Facilities in good working order and repair, fit for the purposes for which they were originally <br />erected; (ii) not permit, commit or suffer any waste or abandonment of the Project Facilities; (iii) not use <br />(and use reasonable efforts to not permit tenants to use) the Project Facilities for any unlawful purpose and <br />use reasonable efforts to not permit any nuisance to exist thereon; (iv) promptly make such repairs or <br />replacements (structural or nonstructural, foreseen or unforeseen) as are required for the proper operation, <br />repair and maintenance of the Project Facilities in an economical and efficient manner and consistent with <br />customary and prudent practices, standards and procedures applicable to properties of like size and type; <br />(v) perform all repairs or replacements in a good and workmanlike manner, and in compliance with all <br />applicable Governmental Actions and Legal Requirements; (vi) keep and maintain abutting grounds, <br />sidewalks, roads, parking and landscape areas which may be owned by the Borrower in good and neat order <br />and repair; (vii) not take (or fail to take) any action, which if taken (or not so taken) would increase in any <br />way the risk of fire or other hazard occurring to or affecting the Project Facilities; and (viii) not sell, lease <br />(other than pursuant to residential leases), cause a Sale of or otherwise dispose of any part of the Project <br />Facilities, except as otherwise permitted hereunder and under the other Funding Loan Documents. <br />Section 6.7 Inspection Rights. <br />(a) The Borrower will, at any reasonable time and from time to time, permit the <br />Controlling Person, the Funding Lender, the Governmental Lender, and the agents or representatives of the <br />Controlling Person, the Funding Lender and the Governmental Lender, to examine and copy and make <br />abstracts from the records and books of account of, and visit the properties of, the Borrower, and to discuss <br />the affairs, finances and accounts of the Borrower with the General Partner and the Accountant. Upon <br />reasonable prior written notice, and subject to the rights of tenants, the Borrower will permit the Engineering <br />Consultant to inspect, or cause to be inspected, the Project Facilities at any reasonable time or times as the <br />Controlling Person may direct. The Borrower shall pay or reimburse the Controlling Person on demand for <br />the fees and expenses incurred in connection with such inspections. <br />(b) After the Engineering Consultant shall have inspected or caused to have been <br />inspected the Project Facilities, the Engineering Consultant shall send written notice to the Controlling <br />Person notifying the Controlling Person of the nature and extent of capital needs of the Project Facilities, if <br />any, which are, in the Engineering Consultant’s professional judgment, necessary to maintain and preserve <br />the Project Facilities in accordance with the standards set forth in Section 6.6 hereof, and which are not <br />addressed in the Annual Budget for the Project Facilities. After considering the Engineering Consultant’s <br />recommendation, the Controlling Person shall notify the Borrower of the work which the Engineering <br />Consultant recommends be performed in order to comply with the requirements of Section 6.6 hereof and <br />the time period over which, in its professional judgment, such work should be commenced and completed. <br />(c) The Borrower shall promptly commence and diligently complete the work <br />recommended by the Engineering Consultant within the time period set forth in the report. If the Borrower <br />fails to complete the work within such time period, the Controlling Person, at the Controlling Person’s <br />discretion, may complete such work for and on the Borrower’s behalf and may do any reasonable act the <br />Controlling Person deems necessary or appropriate to that end. The expenses incurred by the Controlling <br />Person in completing such work shall bear interest at the Default Rate, shall be borne by the Borrower and <br />shall be reimbursed to the Controlling Person immediately upon demand. All work performed by the <br />Borrower shall be performed in a good and workmanlike manner and shall be completely free and clear of <br />any mechanics or materialman’s liens and encumbrances and shall be subject to the requirements of Section <br />6.6 hereof. <br />Section 6.8 Keeping of Books.
