<br />19 <br />Little Canada-Lupe - Borrower Loan Agreement - LC Apartments(199386221.3) - 5/12/2026 6:38:21 PM <br />(4) notwithstanding the foregoing, if the Closing Date occurred on or <br />after November 15, the Borrower may elect, by submission of a signed audit waiver request <br />to Controlling Person, to include the period from the Closing Date through the end of such <br />Fiscal Year in the subsequent Fiscal Year audited financial statements in lieu of providing <br />audited annual statements for the Fiscal Year in which the Closing Date occurred. <br />(c) As soon as possible and in any event within twenty-five (25) days after the end of <br />each calendar month, operating statements of the Project Facilities certified by an Authorized Person and <br />containing itemized information regarding all items of expense and income as well as occupancy reports, a <br />rent roll and, if required by the Controlling Person, other reports such as reports on concessions, security <br />deposits and advance rents, all in such detail as may be required by the Controlling Person; <br />(d) Weekly during any period with occupancy of less than 90% and monthly for other <br />periods, an occupancy report for the Project Facilities, certified by an Authorized Person; <br />(e) Upon receipt thereof by the Borrower, copies of any letter or report with respect to <br />the management, operations or properties of the Borrower submitted to the Borrower by the Accountant in <br />connection with any annual or interim audit of the Borrower’s accounts, and a copy of any written response <br />of the Borrower to any such letter or report; <br />(f) As soon as possible and in any event within fifteen (15) days after receipt of notice <br />thereof, notice of any pending or threatened litigation, investigation or other proceeding involving the <br />Borrower, the General Partner, the Guarantor or the Project Facilities; (i) which could have a material <br />adverse effect on the operations or financial condition of the Borrower, the General Partner, the Guarantor <br />or the Project Facilities; (ii) wherein the potential damages, in the reasonable judgment of the Borrower <br />based upon the advice of counsel experienced in such matters, are not fully covered by the insurance policies <br />maintained by the Borrower (except for the deductible amounts applicable to such policies); or (iii) which <br />challenges the exclusion from gross income of interest on the Governmental Note for purposes of federal <br />income taxation; <br />(g) As soon as possible, notice of any material adverse change in the operations, <br />financial condition or prospects of the Borrower, the General Partner, the Guarantor or the Project Facilities; <br />(h) Upon delivery thereof by the Borrower, copies of any reports, certifications, <br />financial information, compliance documents, rebate information, audits and all other items submitted by <br />or on behalf of the Borrower to the Funding Lender or the Governmental Lender; <br />(i) As and when required under the Regulatory Agreement, the monthly compliance <br />certificates, the annual copies of IRS Form 8703 and other reports and notices required to be delivered <br />under the Regulatory Agreement; <br />(j) Upon receipt thereof by the Borrower, notice of the cancellation or expiration <br />(without renewal or replacement) of any insurance required to be maintained by this Agreement; <br />(k) Not later than the Completion Date: (i) a Completion Certificate in the form <br />attached as Schedule 7 hereto; and (ii) an Estimated Use of Proceeds Compliance Certificate in the form <br />set forth in Schedule 8 hereto; <br />(l) Not later than the Stabilization Date: (i) a Construction Closeout Deliveries <br />Certificate in the form attached as Schedule 9 hereto; (ii) a Final Use of Proceeds Compliance Certificate
