<br />43 <br />Little Canada-Lupe - Borrower Loan Agreement - LC Apartments(199386221.3) - 5/12/2026 6:38:21 PM <br />(including any changes) and the scope of work involved, together with the amounts paid through the date <br />of the list and all other information reasonably requested by Controlling Person; <br />(c) True and correct copies of the most current versions of all executed contracts and <br />subcontracts with each party identified in the list described in clause (b) above, including any changes; <br />(d) True and correct copies of all grading, foundation, building and all other <br />construction permits, licenses and authorizations from all applicable Governmental Authorities or third <br />parties necessary for the construction of the Improvements and the operation of, and access to, the Project; <br />(e) Copies of (i) owner/architect/contractor project meeting minutes; (ii) requests for <br />information (RFI), submittal logs, proposed change orders (PCO), and change order logs; (iii) independent <br />test results, (iv) quality inspection reports; and (v) anticipated cost reports, buy-out logs and Major <br />Contracts; <br />(f) A construction schedule showing the progress of construction and the projected <br />sequencing and completion times for uncompleted Work, all as of the date of the schedule; and <br />(g) Any update to any item described above which Borrower may have previously <br />delivered to Controlling Person. <br />(h) Borrower expressly authorizes Controlling Person to contact Architect, Contractor <br />or any contractor, subcontractor, material supplier, surety or any Governmental Authority to verify any <br />information disclosed in accordance with this Section 9.14. Controlling Person shall give notice to <br />Borrower of any such contacts, provided that neither Controlling Person nor Funding Lender shall incur <br />any liability to Borrower by reason of the failure to give such notice, and Borrower’s obligations under the <br />Borrower Loan Documents shall not be affected in any manner by any failure to give such notice. The <br />Construction Contract shall require the Contractor to disclose such information to Funding Lender and <br />Controlling Person. Any defaulting architect, contractor, subcontractor, material supplier or surety shall be <br />promptly replaced, and Borrower shall promptly deliver all required information and documents to <br />Controlling Person and Funding Lender regarding each replacement architect, contractor, subcontractor, <br />material supplier and surety. Controlling Person may disapprove any architect, contractor, subcontractor, <br />material supplier, surety or other party whom Controlling Person in its reasonable judgment may deem <br />financially or otherwise unqualified, however, the absence of any such disapproval shall not constitute a <br />representation of qualification. <br />Section 9.15 Effect of Approval. Approval of any Requisition by the Controlling Person shall <br />not constitute an approval or acceptance of the Work or materials, nor shall such approval give rise to any <br />liability or responsibility relating to: (i) the quality of the work, the quantity of the work, the rate of progress <br />in completion of the Work, or the sufficiency of materials or labor being supplied in connection therewith; <br />and (ii) any errors, omissions, inconsistencies or other defects of any nature in the Plans and Specifications. <br />Any inspection of the work that the Controlling Person may choose to make, whether through any <br />consulting engineer or architect, agent or employee or officer, during the progress of the work shall be <br />solely for the Controlling Person’s information and under no circumstances will they be deemed to have <br />been made for the purpose of supervising or superintending the Work, or for the information or protection <br />of any right or interest of any person or entity other than the Controlling Person and the Funding Lender. <br />ARTICLE 10 <br /> <br />MISCELLANEOUS
