<br />S6-4 <br />Little Canada-Lupe - Borrower Loan Agreement - LC Apartments(199386221.3) - 5/12/2026 6:38:21 PM <br />1. Prior Conditions Satisfied. All conditions precedent to any prior disbursement shall continue to be <br />satisfied as of the date of the Requisition of such subsequent advance. <br />2. Performance; No Default. The Borrower shall have performed and complied with all terms and <br />conditions herein required to be performed or complied with by it on or prior to the date of such Requisition, <br />and on such date there shall exist no Default or Event of Default. <br />3. Representations and Warranties. Each of the representations and warranties made by the Borrower <br />in the Funding Loan Documents or otherwise made by or on behalf of the Borrower in connection therewith <br />after the date thereof shall have been true and correct in all respects on the date on when made and shall <br />also be true and correct in all material respects on the Borrower on the date of such Requisition (except to <br />the extent of changes resulting from transactions contemplated or permitted by the Funding Loan <br />Documents). <br />4. No Damage. If the Improvements shall have been materially injured or damaged by fire, explosion, <br />accident, flood or other casualty, such Improvements are able to be and are diligently being restored in <br />accordance with the terms of the Mortgage. <br />5. Receipt by Controlling Person. The Controlling Person shall have received: <br />(a) Requisition. A completed Requisition in the form set forth on Exhibit B to this Agreement, <br />accompanied by the certificates, applications, invoices and other materials required thereby <br />together with approval of the portion of the Requisition applicable to the Work for such Advance <br />by the Engineering Consultant, accompanied by a certificate or report from the Engineering <br />Consultant to the effect that in its opinion, based on site observations and submissions by the <br />Contractor, the Work for which the Advance is requested to the date thereof was performed in a <br />good and workmanlike manner and stating that the remaining non-disbursed portion of the Funding <br />Loan proceeds and other available funds specified in the Development Budget are adequate to <br />complete construction of the Improvements in accordance with the Plans and Specifications; and <br />(b) Endorsement to Title Policy. At the time of each advance to update the date of and increase <br />the amount of coverage by the amount of such advance, such endorsements (a “Down Date <br />Endorsement”) shall be delivered by the Title Company, increasing the coverage under the Title <br />Policy by the amount of the approved Requisition plus the amount of any proceeds of the Funding <br />Loan disbursed from the Capitalized Interest Account of the Project Fund; <br />6. Foundation Survey; Current Survey. If the Plans and Specifications provide for construction of the <br />foundations, including expansion or modification of existing foundations, within thirty (30) days after <br />completion of construction of the foundations of the Improvements, a survey certified by a registered <br />engineer or surveyor showing that the foundations are located within the perimeter of the Land and any set <br />back lines and at the location shown on the Plans and Specifications, and from time to time. An updated <br />Survey if required by the Title Insurance Company or the Controlling Person; <br />7. Approval by Engineering Consultant. Approval of the Requisition for such disbursement by the <br />Engineering Consultant, accompanied by a certificate or report from the Engineering Consultant to the <br />effect that in its opinion, based on site observations and submissions by the Contractor, the construction of <br />the Improvements to the date thereof was performed in a good and workmanlike manner and in accordance <br />with the Plans and Specifications, stating the estimated total cost of construction of the Improvements, <br />stating the percentage of in-place construction of the Improvements, and stating that the remaining non- <br />disbursed portion of the Project Fund and Required Equity Funds allocated for such purpose in the <br />Development Budget is adequate to complete the construction of the Improvements;
