PURCHASE AGREEMENT <br />1. Parties. This Purchase Agreement is made on January , 1998 by and between <br />(name) Kenneth G. and Eveline S. Willis, husband and wife <br />(address) 56 Little Canada Road West, SELLER and the City of Little Canada, a municipal corporation, of 515 <br />Little Canada Road East, Little Canada, MN 55117, BUYER. <br />2. Offer /Acceptance. Buyer offers to purchase and Seller agrees to sell real property located in Ramsey <br />County, Minnesota legally described as follows: <br />PIN #06- 29 -22 -32 -0016 <br />Located at (street address) 56 Little Canada Road West, in the City of Little Canada, County of Ramsey, State of <br />Minnesota. <br />3. Acceptance Deadline. The acceptance date of this Agreement is the date it is delivered by the last <br />party signing to the other party. This offer to purchase, unless accepted sooner, shall be void at 11:59 p.m. on <br />Friday, June 13, 1997, and in such event, all earnest money shall be refunded to Buyer. <br />4. Personal Property and Fixtures Included in Sale. The following items of personal property and <br />fixtures owned by Seller and currently located on the property, if any, are included in this sale: garden bulbs, plants, <br />shrubs, trees, storm windows and inserts, storm doors, screens, awnings, window shades, blinds, curtain- transverse- <br />drapery rods, attached lighting fixtures with bulbs, plumbing fixtures, sump pumps, water heaters, heating systems, <br />heating stoves, fireplace inserts, fireplace doors and screens, built -in humidifiers, built -in air conditioning units, <br />built -in electronic air filters, automatic garage door openers and controls, television antennas, water softeners, built - <br />in dishwashers, garbage disposals, built -in trash compactors, built -in ovens and cooking stoves, hood -fans, <br />intercoms, installed carpeting, work benches, security systems, and also the following property <br />No other personal property <br />Upon delivery of the deed, Seller shall also deliver a Bill of Sale for the above personal property. <br />5. Price and Terms. The price for the real and personal property included in this sale is Ninety Eight <br />Thousand and no /100 Dollars ($98,000.00), which Buyer shall pay as follows: Earnest money of $100.00 by check, <br />receipt of which is hereby acknowledged and $97,900.00 cash, on the DATE OF CLOSING. Closing shall take <br />place as soon as practical, but no later than June 15, 1998 in a location and on a date to be determined by the Buyer. <br />6. Deed/Marketable Title. Upon performance by Buyer, Seller shall execute and deliver a Warranty <br />Deed, joined in by spouse, if any, conveying marketable title, subject to: <br />a. Building and zoning taws, ordinances, state and federal regulations; <br />b.
