c. The lien or real estate taxes which are payable by Purchaser hereunder. <br />All of the above exceptions may hereafter collectively be referred to as "Permitted <br />Encumbrances." <br />5. Seller's Performance. Subject to performance by Purchaser, Seller shall execute and deliver <br />to Purchaser the following at closing: <br />a. A Warranty Deed, in recordable form, as aforesaid. <br />b. A Bill of Sale conveying and warranting the personal property to Purchaser free of any <br />liens. <br />c. An Affidavit attesting that, on the date of closing, there are no unsatisfied outstanding <br />judgments, tax liens or bankruptcies against or involving the Seller; that there has been <br />no lienable skill, labor or material furnished to the Property; that there are no other <br />unrecorded interests in the Property of any kind of which Seller is aware and any other <br />standard form Seller's Affidavit which may reasonably be required for Purchaser. <br />d. An estoppel certificate in scope and content satisfactory to Purchaser from all tenants. <br />e. An assignment of leases, service and maintenance contracts, permits and licenses and any <br />warranties and guarantees relating to the real or personal property being acquired. <br />f. Certificate of Occupancy, if applicable, or other evidence issued by the appropriate <br />governmental body evidencing and authorizing the use of the real property for the <br />purposes for which presently used. <br />g. <br />All keys required to afford Purchaser access to the Property. <br />h. All other documents necessary or appropriate to complete the transaction contemplated <br />by this Agreement agreed upon by the parties and their respective counsel. <br />i. Receipt of documents satisfactory to the Purchaser terminating any existing management <br />and service contracts effective as of the date of closing. <br />j. <br />Certification by the Seller as to the location of any above - ground or underground tanks <br />located in or about the Property and evidence of the fact that said tanks have been <br />removed or have been filled in accordance with the specifications of the MPCA or such <br />other governing regulatory body. <br />k. All unrecorded instruments, contracts or conveyances required to perfect or evidence the <br />marketability of Seller's title to the Property in recordable form. <br />Page 2 of 11 <br />Page 35 <br />
