COMMONWEALTH OF VIRGINIA, <br />COUNTY OF HANOVER, to wit: <br />AFFIDAVIT <br />The undersigned, Michael P. Bardaro, Treasurer of AMF Bowling Centers, Inc. <br />(the "Corporation "), states the following: <br />1. I am Treasurer for the Corporation and have been authorized to execute <br />and deliver such documents and take such actions necessary in order to obtain <br />licenses for the Corporation to conduct business at its bowling centers in the State of <br />Minnesota. I am familiar with the facts surrounding the pending requests to the Cities <br />of Fridley, Little Canada, Bloomington and Brooklyn Park for the granting of liquor <br />licenses for the following properties: <br />License No. <br />Location <br />6310 Highway 65 North, Fridley <br />61 W. Little Canada Road, Little Canada <br />7941 Southtown Ctr, Bloomington <br />7500 Zane Avenue N., Brooklyn Park <br />2. The purpose of this affidavit is to describe the source of funds used by the <br />Corporation to acquire the related assets owned by Sundance Properties, LLP., a <br />Minnesota limited partnership, ( "Seller ") at the locations referenced above. <br />3. On approximately May 22, 1998, the Corporation will close on its <br />acquisition from Seller. The purchase price for the assets acquired from Seller will be <br />approximately $6,600,000.00. <br />4. The financing of the purchase will be provided to the Corporation from its <br />parent corporation, AMF Bowling Centers Holdings Inc. which, in turn, will acquire the <br />funds from its parent corporation, AMF Bowling Worldwide, Inc. ( "AMF Worldwide "). <br />5. The funds utilized by the Corporation (and transferred to the Corporation <br />by intercorporate borrowings from parent companies) were obtained from equity <br />investment and bank loans pursuant to a Credit Agreement.
