Hours of service shall be scheduled at the JPL's discretion, provided that said hours will fall within the City's normal business hours unless prior approval is obtained by JPL from City. JPL shall also provide City with a schedule of service availability for each month two weeks prior to the commencement of said month. 2. The monthly fee for the services provided under this agreement shall be $2,275. Said fee may be adjusted upon 30 days notice from Fire Marshal to City, subject to City's consent, Said fee is inclusive of all costs, supplies, mileage, benefits, expenses, etc. and no additional charges shall be made to City. Should the Fire Marshal wish to absent himself from performance of the aforementioned duties to accommodate a vacation or some other extended absence, the Fire Marshal shall provide reasonable advance notice to the City of said request. The City agrees to reasonably accommodate the Fire Marshal's request, at the City's sole discretion. Payments to the Fire Marshal shall be adjusted to reflect the approved absence. D. EFFECTIVE DATE AND CONTRACT TERM: 1. Effective Date. This Agreement shall be effective February 1, 2013 and shall continue in full force and effect until terminated pursuant to paragraph 2 below. 2. Contract Term. This Agreement shall continue in full force and effect until January 31, 201. If neither party provides notice to the other of its intent to cancel this Agreement at least thirty (30) days prior to its scheduled expiration, the Agreement shall be automatically renewed for an additional one -year term. 3. Early Termination for Incapacity. The Agreement may be canceled prior to its scheduled termination by reason of the death or permanent disability of JPL's principal officer. A successor principal officer and the City may agree to continue the agreement by executing a written agreement to that effect within 15 days of the death or determination of permanent disability. 4. Early Termination for Breach. If either party believes that the other is in breach of this agreement, it shall deliver written notice to the allegedly breaching party informing them of the nature of the breach. The notified party may take action to cure the breach within five (5) business days of receipt. a. If a breach by JPL is not cured within the given time, or waived by the City, the City may immediately cancel the Agreement. As final payment in the event of a JPL breach, the City shall be obligated only to pay a portion of the monthly fee due in the month of cancellation, based on the number of days passing prior to the 5
