NOTICE REGARDING CONSENT TO TRANSFER FRANCHISE <br />The stock of Group W Cable, Inc. is being sold to a group of <br />buyers which, subsequent to obtaining control of ownership, intends to <br />transfer the ownership and control of particular cable systems to <br />affiliates of its members. <br />The group intends to cause Group W Cable to transfer ownership <br />and control of Group W Cable of the North Suburbs, Inc. to North Central <br />Cable Communications, L.P., a Minnesota limited partnership. <br />Pursuant to Minnesota Statute 238.083, the undersigned respectfully <br />requests your consent to the transfer of the franchise and the system's <br />business and facilities to North Central Cable Communications, L.P. <br />A form of consent to the requested transfer to North Central <br />Cable Communications, L.P. is attached for your review and <br />consideration. <br />Thank you for your continued support and cooperation.
