Obli ±.Eguip. Cert <br />dated 3/1/83 March & Seat <br />Gentlemen: <br />Under the above - referenced Paying Agency Agreement, we are limited to <br />certain fees and charges for paying agent services performed. Because it <br />is no longer economically feasible for us to continue performing under the <br />Agreement at the current level of fees and charges, we wish to amend the <br />Agreement effective as of August 1, 1986, so that the fee and charge <br />paragraph is changed to read in its entirety as follows: <br />"Pay to the Bank reasonable fees and charges for services performed <br />hereunder in accordance with the Bank's fee and charge schedule in <br />effect at the time of the particular services performed. The fees and <br />charges of the Bank shall in no event become a charge against the <br />funds remitted by the Municipality for payment of principal of and <br />interest on the Obligations." <br />We also wish to implement the new fee and charge schedule attached to this <br />letter. <br />By countersigning, dating and returning the extra copy of this letter to <br />us within the next ninety days, you may agree to the amendment and the new <br />fee and charge schedule. <br />48 <br />
