For the foregoing services the City agrees to pay us a fee of $23,500 <br />contingent upon the successful closing of the transaction. <br />We agree to pay from our fee the expenses of printing and distribution of <br />the Official Statement, fees for various debt certificates and our <br />out -of- pocket expenses subject to the successful closing of the <br />transaction.
