2. In accordance with Minnesota Statutes, Section 474.01, Subdivision 7a, <br />the Mayor of the City is hereby authorized and directed to submit the <br />proposal for the Project to the Minnesota Department of Energy and <br />Economic Development for approval of the Project. The Mayor and other <br />officers, employees and agents of the City are hereby authorized to <br />provide the Minnesota Department of Energy and Economic Development <br />for approval of the Project. The Mayor and other officers, employees <br />and agents of the City are hereby authorized to provide the Minnesota <br />Department of Energy and Economic Development with any preliminary <br />information needed for this purpose, and the City Attorney is <br />authorized to Initiate and assist in the preparation of such documents <br />as may be appropriate to the Project, If It Is approved by the <br />Minnesota Department of Energy and Economic Development. <br />3. In accordance with Minnesota Statutes, Section 471.59, the Joint <br />Powers Agreement between the Cities is hereby approved substantially <br />in the form on file with the City. The Mayor and City Clerk of the <br />City are hereby authorized and directed to execute and deliver the <br />Joint Powers Agreement, with such changes, amendments or additions as <br />shall be approved in their discretion. <br />4. The law firm of Holmes & Graven, Chartered, is authorized to act as <br />Bond Counsel and Juran & Moody, Inc. is hereby appointed as exclusive <br />Underwriter for the bonds, and Bond Counsel and the Underwriter are <br />hereby authorized to assist in the preparation and review of necessary <br />documents relating to the Protect and bonds issued in connection <br />therewith. The Mayor, City Attorney, and other officers, employees <br />and agents of the City are hereby authorized to assist Bond Counsel <br />and the Underwriter In the preparation of such documents. <br />5. In accordance with Minnesota Statutes, Section 474.01, Subdivision 11, <br />the City Clerk and other officers, employees and agents of the City <br />are hereby authorized and directed to encourage all participants in <br />the financing to be provided by the Protect to provide employment <br />opportunities to economically disadvantaged or unemployed <br />individuals. Such Individuals may be Identified by such mechanisms as <br />are available to the City, including a first source agreement In which <br />the participant agrees to use a designated State employment office as <br />a first source for employment recruitment, referral, and placement. <br />Whereupon said resolution was declared duly passed and adopted. The attached <br />resolution Is in full force and effect and no action has been taken by the <br />City Council of the City of Little Canada, Minnesota, which would in any way <br />alter cr anend the attached resolution. <br />Witness my hand officially as the Clerk of the City of Little Canada, <br />Minnesota, this 11th day of February, 1987. <br />page -4- <br />
