hereunder or pursue any other remedy it may have against <br />Purchaser. <br />17. No Claims Against Seller. Nothing contained in <br />this Contract shall constitute any consent or request by Seller, <br />express or implied, for the performance of any labor or service <br />or the furnishing of any materials or other property in respect <br />of the Subject Property or any portion thereof. <br />18. Seller's Right to Inspect. Seller and its agents <br />shall have access to the Subject Property during reasonable hours <br />as long as Seller does not unreasonably interfere with Purchaser's <br />use of the Subject Property for the purpose of examining same to <br />ascertain if it is in good repair. <br />19. Parties. The terms, covenants and conditions <br />hereof shall bind and inure to the benefit of the heirs, legal <br />representatives, successors and assigns of the respective parties <br />hereto. <br />20. Assignment of Contract. Purchaser shall not, <br />without the written approval of Seller, which Seller may withhold <br />in its sole discretion, assign, sell, mortgage, hypothecate, <br />encumber or otherwise transfer its interest in this Contract, <br />provided that Purchaser may at its option assign its interest <br />hereunder to a partnership in which W. Bruce Hubbard and E. H. <br />Jaroszewski are general partners having a majority interest, <br />provided that such partnership assumes the obligations of <br />Purchaser hereunder and provided further that any subsequent <br />transfer shall be subject to this Paragraph 20. Any transfer, <br />sale, mortgage, or assignment of the ownership or control of the <br />Purchaser corporation shall require such approval. <br />3 1 <br />
