CABLE CatIUNICATIONS OFFERING <br />At-il:tE`m.E 11' A Tr NO. 1 <br />City of Little Canada <br />RESOLUTION NO. <br />THIS AGREF21ENT, made and entered into this day of <br />1984, by and between the City of Little Canada , a Municipal Corporation of the <br />State of Minnesota ( "City" or "Grantor "), and Group W, Inc., ( "Grantee "). The <br />Grantor and Grantee (collectively referred to as "Parties "). <br />WITNESSEIH <br />WHEREAS, pursuant to City Ordinance No. 196 , the Grantor has granted <br />and the Grantee has accepted a non- exclusive revocable franchise to operate, <br />construct, maintain and reconstruct a cable television system within the City <br />( "Franchise Agreement"); and <br />4:taCAS, the Parties desire to modify and clarify certain provisions <br />contained in the Franchise Agreement; <br />NOW THEREFORE, in consideration of the mutual covenants contained <br />herein the Parties agree as follows; <br />1. Dual Cable - Initially, Grantee's dual cable system will have one <br />cable activated with a fifty -nine (59) channel capacity. The City, or its <br />designee, will consider during its regular evaluation sessions of Article VI, <br />Section 4.E.(2) of the Franchise Agreement the activation of the second cable or <br />any other change *,rich might increase channel capacity. <br />2. Drops - At the time of installation of the dual cable system, <br />Grantee shall install both dual aerial and underground drops to each home and <br />institution which is to receive cable services. <br />3. Construction Deadline - Providing that Grantee has completed <br />the construction and the requirements for equipment, facilities and staff of the <br />system by ?lwcmber 12, 1984, unless otherwise agreed to by City and Grantee, <br />Grantee shall be released and discharged from any penalties or sanctions which <br />otherwise might have been imposed against Grantee as a result of such delays <br />prior to November 12, 1984. Should the system construction and the requirements <br />for equipment, facilities and staff not be completed and complied with by <br />November 12, 1984, the Commission or its member cities may impose retroactively <br />to Miay 12, 1984, any sanctions otherwise available in the Franchise. <br />4. Rate Regulation and Services <br />Article VI, Section 4.A. -D is amended in its entirety as set forth <br />in Appendix II. <br />Universal Service -Tier I shall he continued. <br />Tier II (Economy Service) shall be discontinued. <br />Tier III shall became Tier II, and Tier IV shall became Tier III. <br />6 <br />
