11. Compensation. Lessees shall pay to the City for the <br />privileges herein granted ten (10 %) percent of its gross sales. <br />All gross sales will be determined exclusive of State sales tax <br />collected by Lessees. <br />12. Payment and Billing. Lessees shall provide to the <br />City copies of daily receipt forms used by Lessees for the <br />purpose of establishing gross sales. Said receipts shall be <br />submitted to the City on a weekly basis. The City will bill <br />Lessees the amount due to the City at the conclusion of each <br />month. Lessees shall pay the amount due to the City within ten <br />(10) days of the billing. Lessees shall provide City access to <br />their records for the purpose of determining the accuracy of <br />sales figures. <br />13. Maintenance of Facilities. Lessees agree to operate <br />the concession stand in a clean manner with quality products <br />sold at a fair market price. Lessees shall faithfully observe, <br />keep and obey all terms and conditions of this Agreement, and <br />all laws, rules and ordinances of the City and of any other <br />governmental entity including county, state and federal <br />regulations which may apply to this Agreement or Lessees' use of <br />the concession stand. Lessees further agree to open and secure <br />the building during events and to police the area for trash <br />after each event. <br />14. Assignment. This Agreement and its rights and <br />obligations may not be assigned by Lessees except upon the prior <br />written consent of the City. <br />-4- <br />Page 67 <br />
