Medics Choice may change the Premiums on any monthly due date or on any date this Contract is amended. <br />Modica Choice will provide 30 days' written notice of Premiums and coverage changes, including renewal of <br />this Contract. <br />Medica Choice will give 30 days' written notice for amendments to this Contract. <br />The Employer may make adjustments to its payment of Premiums for any additions or terminations of <br />Members submitted by the Employer but not yet reflected in Medica Choice's calculations. All changes to <br />enrollment will be made as specified in Appendix A. However, no retroactive credit will be granted for any <br />change occurring more than 60 days prior to the date Medica Choice received notification of the change by <br />the Employer nor will retroactive credit be granted for any month in which a Member received Benefits. In <br />no event will a refund of Premiums for more than 60 days be made to the Employer for termination of a <br />Member's coverage when the Employer has failed to notify Medica Choice of such change. <br />A full Premium rate will apply to an enrollment effective between the first and fifteenth of the month. No <br />Premium rate will apply to an enrollment effective between the sixteenth and the last day of the month. All <br />terminations will be effective at the end of the month in which they occur and a full Premium rate will apply <br />for the month. <br />GRACE PERIOD <br />The grace period for the Employer's payment of monthly Premiums as provided above will be 10 days. If all <br />or a portion of the Premiums due remain unpaid at the end of the grace period, Medica Choice may assess a <br />finance charge of 12% per annum for the unpaid amount and terminate this Contract without notice. In the <br />event of cancellation, Medica Choice will not be responsible for any claims for health services incurred by <br />Members during the grace period. <br />ALTERATIONS <br />The Contract may not be changed and no provisions may be waived unless approved in writing by each party. <br />ASSIGNMENT <br />Medica Choice will have the right to assign any and all of its rights and responsibilities under the Contract <br />to any subsidiary or affiliate of Medica Choice or to any other appropriate organization or entity. <br />CLERICAL ERROR <br />A member will not be deprived of coverage under the Contract because of a clerical error. On the other hand, <br />a member will not be eligible for coverage beyond the scheduled termination of coverage because of a failure <br />to record the termination. <br />CONFORMITY WITH STATUTES <br />If a provision of the Contract conflicts with the terms of the taws of Minnesota, it is amended to conform to <br />the minimum requirements of such laws. <br />NOTICE <br />Notice given by Medica Choice to an authorized representative of the Employer will be deemed notice to all <br />affected in the administration of this Contract in the event of termination or non - renewal of this Contract. <br />2 <br />Page 10 <br />
