(b) (For recipients which are not units of government covered by <br />Minn. Stat. Ch. 466): <br />Grantee agrees to indemnify and save and hold Grantor, its <br />agents and employees, harmless from any and all claims or <br />causes of action arising from the performance of this <br />Agreement by Grantee or its agents or employees. This clause <br />shall not be construed to bar any legal remedies Grantee may <br />have for Grantor's failure to fulfill its obligations <br />pursuant to this Agreement. <br />6. The programmatic and fiscal books, documents, papers, and other <br />records, and accounting procedures and practices of the Grantee <br />relevant to this Agreement shall be subject to examination by <br />Grantor, the State Auditor and /or the Legislative Auditor or their <br />authorized agents for as long as the records are retained for the <br />purpose of audits, examinations, excerpts, and transcripts. <br />Grantee must retain all records relating to this Subgrant for a <br />period of three years after it submits its final expenditure report <br />or until completion of any litigation, claim, negotiation, audit <br />or other action, whichever is .later. <br />7. This document including the Project Proposal and Grant Application <br />Package constitute the entire Agreement between the parties. This <br />Agreement, except as stated herein, may not be amended except in <br />writing by mutual agreement of the parties. <br />8. Grantee agrees to follow all applicable federal and state laws <br />relevant to this Agreement. <br />G. ANTI -TRUST <br />Grantee hereby assigns to the State of Minnesota any and all claims for <br />overcharges as to goods and /or services provided in connection with this <br />Agreement resulting from antitrust violations which arise under the <br />antitrust laws of the United States and the antitrust laws of the State <br />of Minnesota. <br />H. INSPECTIONS <br />Grantor shall have the right to make on -site inspections of any work <br />undertaken pursuant to this Agreement. <br />I. TREE CITY USA STANDARDS- REQUIREMENT <br />Grantee agrees to meet all of the four standards of the TREE CITY USA <br />Program as specified in the Grant Application Package.
