event Tenant should refuse to execute and deliver said statement and /or certificate, Landlord <br />shall have the right to cancel this lease by giving Tenant an additional ten (10) days notice in <br />writing, whereupon this lease shall be of no further force and effect. <br />ARTICLE XXII <br />TITLE <br />Landlord covenants and warrants that it has full right and authority to enter into this lease <br />for the full term thereof. Landlord further covenants that Tenant, upon paying the fixed <br />minimum rent, percentage rent and all other charges provided for herein and upon performing <br />the covenants and agreements of this lease to be performed by said Tenant, will have, hold and <br />enjoy quiet possession of the leased premises. <br />ARTICLE XXIII <br />CONDITION OF PREMISES <br />Tenant shall take the Premises in an "as is" condition; provided that Landlord shall spend <br />up to $6,000 for repairs to the roof covering the leased Premises prior to the Lease <br />Commencement Date. Tenant, at its sole expense, shall be responsible for improvements or <br />costs not expressly indicated in this Lease to be the responsibility of Landlord or that are not <br />able to be completed within the budget for tenant improvements contemplated by Article V, <br />including but not limited to installation of new carpet, bathrooms, drapes, HVAC, wall repairs <br />and wall coverings and additional electrical requirements as required by Tenant. <br />ARTICLE XXIV <br />COMMENCEMENT AND TERMINATION PROVISIONS <br />Section 1. The term of this lease shall commence on the Iease Commencement Date <br />set forth above. Thereupon this lease shall be considered in full force and effect and the <br />obligation of Tenant to pay rent shall commence. <br />Section 2. In addition to the termination remedies set forth in Article XIII above, this <br />lease shall terminate immediately in the event Tenant ceases to be licensed as required by any <br />government authority to operate a bingo parlor or in the event Landlord, or any successor to the <br />Landlord, ceases to be licensed to operate a bingo hall. Landlord may also terminate this Lease <br />at any time upon thirty (30) days notice to Tenant in the event that Landlord, in its sole <br />discretion, determines that for any given lease year the rental income from the Premises (based <br />on reductions in the numbers of tenants or the number of sessions to be held or for any other <br />reason including but not limited to maximum session or operator requirements imposed by state <br />or local law) has or will decline to less than the Fixed Annual Minimum Rent. In addition, <br />Landlord may, for any reason, terminate this Lease as of the end of the day prior to an annual <br />anniversary date of this Lease by providing written notice of termination to Tenant not less than <br />sixty (60) days prior to the preceding anniversary date (for example, assuming a Lease <br />Commencement Date of November 1, 1993, if Landlord provides termination notice to Tenant <br />aadoff wp\mkpleaa.2 <br />19 <br />Page 30 <br />
