Certification of Termination of Regulatory Agreement <br />WHEREAS, the City of Little Canada (the "City "), Minnesota, Housing Alternatives <br />Development Company (the "Company ") and First Trust National Association, now U.S. Bank <br />National Association, a national banking association (the "Trustee ") have executed a certain <br />Regulatory Agreement, dated as of December 1, 1997 (the "Agreement ") recorded on April 14, <br />1998, in the office of the Registrar of Titles for Ramsey County, Minnesota, as Document No. <br />1184060, in with respect to the following described land, to -wit: <br />The North 691 feet of the West Half of the Southwest Quarter of Section 5 and <br />the East 330 feet of the North 691 feet of the Southeast Quarter of Section 6, all in <br />Township 29, Range 22, except those parts thereof described as beginning at the <br />Northeast corner of said Southeast Quarter; thence West along the North line of <br />said Southeast Quarter to the West line of the East 330 feet of said Southeast <br />Quarter; thence South along said West line of the East 330 feet, a distance of 350 <br />feet; thence East 350 feet to a point 350 feet South, as measured at right angles, <br />from the North line of said Southwest Quarter; thence North 350 feet to a point on <br />said North line of the Southwest Quarter, distant 20 feet East from said Northeast <br />corner of the Southeast Quarter; thence West along said North line to said <br />Northeast corner of the Southeast Quarter, the Southerly and most Westerly <br />boundary lines of which are marked by Judicial Landmarks set pursuant to <br />Torrens Case No. 11805. <br />WHEREAS, the Agreement contained certain covenants and restrictions which were <br />intended to run with the land and be binding upon the Company, its successors and assigns; and <br />WHEREAS, pursuant to an Assignment and Assumption Agreement, dated February 9, <br />2005 recorded on April 7, 2006 in the office of the Registrar of Titles for Ramsey County, <br />Minnesota, as Document No. 1957832, Montreal Courts, LLP (the "Owner ") assumed the duties <br />and liabilities under the Agreement and as assignee and successor of the Company is authorized <br />to execute this Certificate; and <br />WHEREAS, the City and the Trustee, their successors and assigns, were given in said <br />Agreement the full and absolute right and obligation to amend or terminate or delete such <br />restrictions and to execute and deliver this Certificate for and on behalf of all persons and entities <br />who might have been benefitted by such covenant and restrictions; and <br />WFIEREAS, under the terms and provisions of Section 15 of said Agreement it is now an <br />Appropriate Time (as such term is defined in the Agreement) to deliver this Certificate and to <br />amend or terminate or delete such covenants and restrictions; <br />NOW, THEREFORE, this is to certify that the Agreement is null and void and of no <br />further force or affect; the Registrar of Titles in and for the County of Ramsey and State of <br />Minnesota is hereby authorized to accept this instrument for recording as a conclusive <br />determination of the termination and release of the Agreement, as specified and as a complete <br />termination of all rights and other remedial provisions of the Agreement. <br />Dated this day of September, 2013. <br />io <br />
