MAY-20-1994 12:20 FROM SWEENEY BORER & OSTROW TO LITTLE CANADA P.03 /07 <br />NS E; ;ND i NIF C; .ON AG C MENT <br />THIS AGREEMENT, is made this day of <br />1994, by and between the Little Canada Recreation Association, <br />Inc., a Minnesota nonprofit corporation (the "Association "), and <br />the City of Little Canada, a Minnesota municipal corporation, <br />(the "City "). <br />W I T N E S S E T H <br />WHEREAS, the Association has purchased and installed a <br />chain link fence together with all related construction <br />materials and hardware, (the "Fence ") on certain real property <br />owned by the City and described on attached Exhibit A; and <br />WHEREAS, the Association desires to transfer and assign <br />ownership of the Fence to the City under the terms of this <br />Agreement; and <br />WHEREAS, the City has inspected the Fence together with its <br />installation and location and has agreed to accept the transfer <br />of ownership; and <br />WHEREAS, in consideration of the transfer, the City has <br />agreed to assume all responsibility for the Fence and to <br />indemnify and hold harmless the Association from and against any <br />liability related to the Fence. <br />-1- <br />Page 101 <br />
