building permit application. <br />14. Miscellaneous. <br />A. This Agreement shall be binding upon the parties, there <br />heirs, successors or assigns, as the case may be. <br />B. Breach of the terms of this Agreement by the Developers <br />shall be grounds for denial of the issuance of any building permit or <br />rescission of any building permit. <br />C. If any portion, section, subsection, sentence, clause, <br />paragraph, or phrase of this Agreement is for any reason held invalid, such <br />decision shall not affect the validity of the remaining portions of this <br />Agreement. <br />D. The action or inaction of the City shall not constitute a <br />waiver or amendment to the provisions of this Agreement. To be binding, <br />amendments or waivers shall be in writing, signed by the parties and <br />approved by written resolution of the City Council. The City's failure to <br />promptly take legal action to enforce this Agreement shall not be a waiver <br />or release. <br />E. Indemnification. The Developers agree to indemnify, defend <br />and hold harmless the City, its agents and employees, from any claim, <br />demand, suit, action or other proceeding whatsoever by any person for any <br />loss or damage to property or any injury to or death of any person <br />resulting from any actions by the Developers, or its agents or contractors. <br />16. Notices. Required notices to the Developers shall be in writing, <br />and shall be either hand delivered to the Developers, its employees or <br />agents, or mailed to the Developers by certified mail at the following <br />addresses: James A. Olson and Christine M. Olson, 2930 LaBore Road, Little <br />Canada, Minnesota 55109, and Thomas Theis and Annette Theis, 3036 Leeward <br />Way, Little Canada, Minnesota 55117. Notice to the City shall be in <br />writing and shall be either hand delivered to the City Administrator, or <br />-5- <br />Page 156 <br />
