Other Matters <br />The Trustees do not intend to bring any business before the <br />meeting other than the amendments discussed herein and they have <br />not been informed of any other business that is to be presented <br />at the meeting. <br />The Proxy <br />A form of proxy is being furnished together with a copy of <br />this Proxy Statement to each Participant. Any Participant <br />giving a proxy has the right and power to revoke it at any time <br />before its exercise (i) by written notice to the Secretary of <br />the Fund prior to the meeting, or (ii) by filing a duly executed <br />proxy bearing a later date, or (iii) by claiming a right to vote <br />in person at the meeting. The proxy will be voted by the proxy <br />agent in strict accordance with the directions thereon. In the <br />absence of specific instructions thereon, the proxy will be <br />voted in favor of the proposed amendments. For the participants <br />convenience, if the participant agrees with the proposed <br />amendments, a model resolution has been included authorizing an <br />individual within the city to vote at the meeting or execute the <br />proxy on the participant's behalf. <br />David DuBord, Controller of the League of Minnesota Cities, <br />is serving as the proxy agent <br />January 5, 1994 is the record date for the determination <br />of Participants entitled to notice of and to vote at the meeting <br />and at any adjournment or adjournments thereof. only <br />Participants of record on that date are entitled to notice of <br />and to vote at the meeting. Each Participant is entitled to one <br />vote on each matter to be presented at the meeting without <br />regard to the amount of funds it has placed in the Fund. <br />WHETHER OR NOT YOU EXPECT TO ATTEND THE MEETING, PLEASE <br />FILL OUT, SIGN, DATE AND RETURN THE PROXY CARD IN THE ENVELOPE <br />PROVIDED.
