304291.2 <br />(b) The Appraisal. <br />(c) Copies of the Leases. <br />(d) A Rent Roll, certified by Developer, identifying each of the <br />spaces available for lease in the Project, the name of the Tenant and date of <br />the Lease if the Property is under Lease, the commencement and expiration <br />dates of the Lease, a description of any extension options in favor of Tenant, <br />a summary of the rent due throughout the term and any extension terms of <br />the Lease, and a description of common area maintenance expenses payable <br />under the Lease. <br />(e) An operating pro forma for the Project covering a 10 year <br />period. The operating pro forma should include a pro forma based on the <br />assumption of 70% occupancy and a pro forma based on an assumption of <br />100% occupancy. <br />(f) Certified copies of Articles of Organization and Operating <br />Agreement of Developer together with all amendments thereto. <br />(g) Certified copies of the Resolutions of the Board of Governors <br />of Developer authorizing the Developer to enter into this Agreement and the <br />other Loan Documents required to be executed by Developer and to borrow <br />from EDA as contemplated herein and detailing the manager(s) authorized <br />to execute such Loan Documents. <br />(h) Incumbency Certificate showing the names, titles and specimen <br />signatures of the persons authorized to execute the Loan Documents on <br />behalf of the Developer. <br />(i) Certificate of Good Standing of Developer issued by Secretary <br />of State of Minnesota. <br />(j) Evidence of payment to EDA of the Loan Origination Fee. <br />(k) Opinion of Robert D. Schwartz, legal counsel for Developer, <br />addressed to EDA to the effect that: <br />(i) Developer is a duly organized Limited Liability Company <br />existing, and in good standing in the State of Minnesota; <br />(ii) The execution and delivery of this Agreement, the Note, <br />Mortgage, and any and all other documents or instruments required to <br />be executed and delivered or delivered in connection herewith, and all <br />actions of Developer taken pursuant hereto have been authorized by <br />Page 8 <br />
