PURCHASE AGREEMENT /RIGHT TO ENTRY <br />David A. Smith "Seller" hereby agrees to sell, and the City of Little <br />Canada "Buyer" agrees to buy the entire parcel as described on the attached <br />"Exhibit A" and indicated on "Exhibit B ". <br />The purchase price to be paid by Buyer is Two Thousand Dollars and <br />00 /100 ($2,000.00). <br />Buyer will prepare the documents necessary to consummate this sale <br />including the preparation of a warranty deed to be executed by Seller at <br />closing. Buyer will also be responsible for processing and recording the <br />subdivision of the parcel as it deems appropriate or necessary. <br />The closing date shall be on or before August 1, 1995. At closing, <br />Seller shall execute a warranty deed to the property conveying fee title <br />free and clear of all encumbrances except recorded easements. To the best <br />knowledge of Seller, no toxic or hazardous wastes have been placed on the <br />property while property has been in his possession. <br />Seller further agrees to allow Buyer, its employees, agents, and <br />assigns, as well as its general and subcontractors, to enter upon this <br />parcel for the purposes of inspection, preparation, maintenance, and <br />construction of public water main including site restoration, and Seller <br />hereby waives all rights to commence an action of trespass or other legal <br />claim against Buyer; its engineers, Bonestoo, Rosene, Anderlik & <br />Associates, Inc.; and its general and subcontractors because of entry on <br />said property. This right of entry shall take immediate effect and will <br />remain in effect until August 1, 1995 or until the property sale <br />transaction has closed, whichever is earlier. <br />-1- <br />Page 87 <br />
