Cooperative association <br />A city may enter into a contract with a cooperative association of which <br />the city officer is a shareholder or stockholder. This exception does not <br />apply if the interested city officer is an officer or manager of the <br />association. <br />Procedure: <br />• The interested officer abstains from voting on the matter. <br />• The council approves the designation by unanimous vote. <br />d. Competitive bidding not required <br />A city may contract with a city officer when competitive bidding laws is <br />not required. The municipal contracting act generally requires the <br />following types of contracts that are estimated to exceed $100,000 to be <br />bid: <br />• Sale, purchase, or rental of supplies, materials, or equipment. <br />• Construction, alteration, repair, or maintenance of property. <br />This exception appears to apply to contracts that do not have to be <br />competitively bid, such as contracts for professional services or <br />employment. A city may need to seek a legal opinion if it is unsure about <br />whether this exception applies to a particular situation. <br />Procedure: <br />• The interested officer abstains from voting on the matter. <br />• The council approves the contract by unanimous vote. <br />• The council passes a resolution setting out the essential facts, such as <br />the nature of the officer's interest and the item or service to be <br />provided, and stating that the contract price is as low as (or lower then) <br />could be found elsewhere. <br />• Before a claim is paid, the interested officer must file an affidavit with <br />the clerk that contains: <br />o The name and office of the interested officer. <br />o An itemization of the commodity or services furnished. <br />League of Minnesota Cities Information Memo: 10/1712014 <br />Official Conflict of Interest Page 8 <br />
