GENERAL OBLIGATION BOND PROCEEDS GRANT AGREEMENT CONSTRUCTION GRANT for the CITY OF LITTLE CANADA RAILROAD QUIET ZONE ESTABLISHMENT PROJECT THIS AGREEMENT shall be effective as of _ May 21, 2014c and is between City of Little Canada Minnesota a statutory city, (the "Grant Recipient"), and the Minnesota Department of Transportation (the "State Entity"). RECITALS A. Under the provisions contained in Minnesota Laws of 2014, Chapter 294, Section 16, Subd 5 (the "0.0. Bonding Legislation"), the State of Minnesota has allocated $1,250,000 (the "Grant") which is to be given to the Grant Recipient as a grant to assist it in the establishment of a railroad quiet zone at six railroad highway grade crossings as authorized by such legislation; and B. The monies allocated to fund the grant to the Grant Recipient are proceeds of state general obligation bonds authorized to be issued under Article X1, Sec. 5(i) of the Minnesota Constitution; and C. The Grant Recipient and the State Entity desire to set forth herein the provisions relating to the granting of such monies and the disbursement thereof to the Grant Recipient. IN CONSIDERATION of the grant described and other provisions in this Agreement, the parties to this Agreement agree as follows. Article I DEFINITIONS Section 1.01 Defined Terms. As used in this Agreement, the following terms shall have the meanings set out respectively after each such term (the meanings to be equally applicable to both the singular and plural forms of the terms defined), unless the context specifically indicates otherwise: "Advance(s)" — means an advance made or to be made by the State Entity to the Grant Recipient and disbursed in accordance with the provisions contained in Article IV hereof.
