PURCHASE AGREEMENT <br />THIS AGREEMENT is made as of June 10, 2015, between TCF National Bank, a United <br />States of America Corporation ("Seller"), and the City of Little Canada, a Minnesota municipal <br />Corporation ("Buyer"). <br />In consideration of this Agreement, Seller and Buyer agree as follows: <br />1. Sale of Property. Seller agrees to sell to Buyer, and Buyer agrees to buy from Seller, <br />the following property (collectively the "Property"). <br />(a) <br />Real Property. The real property and fixtures located at 2801 Country Drive in the <br />City of Little Canada, County of Ramsey, State of Minnesota and further <br />identified by Ramsey County Property Identification Number (PIN) 06-29-22-41- <br />0004 and legally described as Subj To Hwy And Ex E 874 5/10 Ft And Ex W 196 <br />Ft The S 100 Ft Of N 816 5/10 Ft Of Part Of Se 1/4 E Of Southern Slope Add And <br />Nly Of Ww R/w In Sec 6 Tn 29 Rn 22 ("Land"), together with all easements and <br />rights benefiting or appurtenant to the Land (collectively the "Real Property"). <br />(b) Personal Property. All of the personal property, (if any), situated in or about the <br />Real Property owned by Seller, including the personal property described on <br />attached Exhibit A ("Personal Property"). <br />(c) <br />Leases. Seller's interests as lessor in all of the leases, if any, affecting the <br />Property. <br />(d) Buyer is aware that Seller acquired the property which is the subject of this <br />transaction by way of foreclosure, and that Seller is selling and Buyer is <br />purchasing the property in an "AS IS" CONDITION WITHOUT <br />REPRESENTATIONS OR WARRANTIES OF ANY KIND OR NATURE. <br />Buyer acknowledges for Buyer and Buyer's successors, heirs and assignees, <br />that Buyer has been given a reasonable opportunity to inspect and <br />investigate the property and all improvements thereon, either independently <br />or through agents of Buyer's choosing, and that in purchasing the property <br />Buyer is not relying on Seller or its agents as to the conditions of the property <br />and/or its improvements thereon, including, but not necessarily limited to, <br />electrical, plumbing, heating, sewage, roof, foundation, soils and geology, lot <br />size or suitability of the property and/or its improvements for particular <br />purposes, or that any appliances, if any, plumbing and/or that the <br />improvements are structurally sound and/or in compliance with any city, <br />county, state and/or federal statutes, codes or ordinances. The closing of this <br />transaction shall constitute an acknowledgement by the Buyer that THE <br />PREMISES WERE ACCEPTED WITHOUT REPRESENTATION OR <br />WARRANTY OF ANY KIND OR NATURE AND IN AN "AS IS" <br />
