Der-cc-ao t11 1e;4 <br />' FMX N0. �=x'6125822830 <br />TRANSFER AND INDEMN F CATION AGREEMENT <br />THIS AGREEMENT, is made this day of , 1995, by and between the <br />Friends of the Lino bakes Parks Foundation, a Minnesota nonprofit corporation (the <br />"Foundation"), and the City of Lino Lakes, a Minnesota municipal corporation, (the "City"). <br />WITNESSETH <br />WHRRFAS, the Foundation has received ten (10) cement picnic tables, (the "Tables"), <br />that have been installed (eight (8) in Country Lakes Park and two (2) in Birch Park) on property <br />owned by the City; and <br />WHEREAS, the Foundation desires to transfer and assign ownership of the Tables to the <br />City under the tenns of this agreement; and <br />WHEREAS, the City has inspected the Tables together with its installation and location <br />and has agreed to accept the transfer of ownership; and <br />WHEREAS, in consideration of the transfer, the City has agreed to assume all <br />responsibility for the Tables and to indemnify and hold harmless the Foundation from and <br />against any liability related to the Tables. <br />NOW, THEREFORE, for and in consideration of the transfer by the Foundation and the <br />covenant to indemnify by the City, and for other good and valuable consideration, receipt of <br />which is hereby acknowledged, the parties agree as follows; <br />I . transfer of.Owner5hip. The Foundation hereby sells, assigns and transfers all of its <br />right, title, interest and ownership in the Tables to the City. The Foundation acknowledges it is <br />the owner of the Tables, that there are no Liens or other encumbrances attached to it, and that it <br />has full power and authority to make this transfer. <br />2. Acceptance. The City acknowledges it has :made a full and complete inspection of the <br />Tables together with its installation and location and expressly agrees to accept the transfer of the <br />Tables in its present condition and location and agrees to assume all risks in connection with <br />ownership. <br />3. Agreement to In;1emnify s nci Hh1d Harmless. The City agrees to assume all <br />responsibility for the Tables, including, but not limited to maintenance, upkeep and liability for <br />any bodily injury which may result from the Tables.
