Meredith shall collect a PEG Fee, as set forth in Exhibit A attached hereto, from <br />Basic Service Subscribers (*Subscribers") and pay the amount collected to the <br />Commission commencing on and after the execution and implementation by all <br />parties of the definitive agreement ("Effective Date of Transfer"), and continuing <br />for any subsequent renewed franchise period fthe sum total of which shall not to <br />exceed fifteen (15) years without mural agreement of both parties). Meredith <br />shall prepay, commencing January 1, 1996, and quarterly thereafter, an estimated <br />quarterly PEG Fee to Commission which shall be reconciled July 1, 1996, and <br />reconciled quarterly thereafter, to reflect actual PEG Fee receipts by Meredith <br />(January payment reconciled July 1, April payment reconciled October 1, etc.). <br />B. Meredith shall pay a total of Three Hundred Thousand Dollars ($300,000.00) to <br />Commission for and in lieu of all PEG Programming capital, replacement, and <br />other equipment obligations during the current Franchise, and for any subsequent <br />renewal as set forth below, with One Hundred Fifty Thousand Dollars <br />($150,000.00) being paid on January 1, 1996, and One Hundred Fifty Thousand <br />Dollars ($150,000.00) being paid on January 1, 1997. <br />C. Meredith shall assign and the Commission shall assume all real estate and <br />equipment leases and contracts relating to PEG Programming to the Commission. <br />D. Meredith shall transfer all PEG Programming equipment to the Commission upon <br />the Effective Date of Transfer and shall maintain such equipment until such time <br />of transfer. Mereditht shall consult with the Commission Staff concerning <br />replacement of such equipment pending such transfer, and all costs for <br />replacement equipment shall be credited against the payment set forth in paragraph <br />B above. <br />E. Commission shall have the right to use six video channel [currently public, <br />government, religious, and educational (3)1 for PEG Programming and shall be <br />responsible for any and all 1 -Net or other switching related to PEG Programming <br />or non-profit use of the 1 -Net capacity, which shall occur only as provided in the <br />.Franchise and consistent with applicable laws. <br />F. The Commission shall advise Meredith in writing at least thirty (30) days prior <br />to the Effective Date of Transfer of the Commission's intention to make offers of <br />employment to Meredith personnel relating to PEG Pnagramrning. <br />G. Upon the Effective Date of Transfer, the Franchise and Offering obligations <br />relating to PEG Programming shall be superseded and become the responsibility <br />of the Commission. <br />0512s!!1 1:Npm 2 <br />
