(f) Governing Law. This Agreement and all documents executed in <br />connection herewith or pursuant to the terms hereof shall be governed <br />by and construed in accordance with the provisions of the laws of the <br />State of Minnesota. <br />(g) Counterparts. This Agreement and any amendments to this Agreement <br />may be executed in counterparts, each of which shall be fully effective <br />and all of which together shall constitute one and the same instrument. <br />(h) Third Party Beneficiary. There are no third party beneficiaries of this <br />Agreement, intended or otherwise. <br />(i) No Joint Venture. Seller, by entering into this Agreement and <br />consummating the transactions contemplated hereby, shall not be <br />considered a partner or joint venturer of Buyer. <br />(j) Severability. In case any one or more of the provisions contained in this <br />Agreement shall for any reason be held to be invalid, illegal or <br />unenforceable in any respect, such invalidity, illegality, or <br />unenforceability shall not affect any other provision hereof, and this <br />Agreement shall be construed as if such invalid, illegal, or unenforceable <br />provision had never been contained herein. <br />9. Closing. The closing on the sale of the conveyance of the Property from <br />Seller to Buyer shall take place on September 1, 1996. <br />10. Place of Closing. The closing shall be held at the offices of William G. <br />Hawkins, 2140 Fourth Avenue North, Anoka, Minnesota. <br />11. Hazardous Substances. Seller represents, warrants and covenants that <br />, to the best of his knowledge, the property has not been used or involved in the <br />release, handling, storage, or disposal of hazardous substances. <br />12. Right of Access. The Seller hereby grants to Buyer the right to enter <br />upon the Property prior to the date of closing and transfer of possession pursuant to <br />this Purchase Agreement for the purpose of constructing a water storage tank. Such <br />water storage tank shall be constructed according to plans and specifications prepared <br />by the Buyer and placed in such location as deemed favorable in the sole opinion of <br />the Buyer. <br />-6- <br />
