d:- The- City shall pay—to the --Cont�Yr-the sum of One Hundred- and -- <br />no/100 (5100.00) Dollars for inflation only at special events. <br />e. The City shall pay Contractor's cost to list the City as a certificate <br />holder. <br />4. INDEPENDENT CONTRACTOR STATUS. Contractor is to be and shall <br />remain an independent contractor with respect to any and all work performed under <br />this Contract. <br />It is agreed that nothing contained is intended or shall be construed in any <br />manner as creating or establishing the relationship of agents, partners, joint venturers, <br />or associates between the parties hereto or as constituting Contractor as an employee <br />of the City for any purpose or in any manner whatsoever for the services provided <br />under this Contract. <br />5. INDEMNIFICATION. Any and all claims that arise or may arise against <br />the Contractor, its agents, servants or employees as a consequence of any act or <br />omission on the part of the Contractor or its agents, servants or employees while <br />engaged in the performance of the Contract shall in no way be the obligation or the <br />responsibility of the City. Contractor shall indemnify, hold harmless and defend the <br />City, its officers and employees against any and all liability, loss, costs, damages, <br />expenses, claims or actions, including attorney's fees which the City, its officers and <br />employees hereinafter sustain, incur, or be required to pay, arising out of or by reason <br />of any act or omission of the Contractor, its agents, servants or employees, in the <br />execution, performance, or failure to adequately perform Contractor's obligation <br />pursuant to this Contract. <br />-3- <br />
