1.2.7 "City Code" means the Lino Lakes City Code, as amended from time to time. <br />1.2.8 "Commission" means the North Metro Telecommunications Commission, a <br />municipal joint powers consortium comprised of the municipalities of Blaine, <br />Centerville, Circle Pines, Ham Lake, Lexington, Lino Lakes and Spring Lake <br />Park, Minnesota. In the event the City lawfully withdraws from the Commission, <br />any reference to the Commission in this Franchise shall thereafter be deemed a <br />reference to the City, and the rights and obligations related thereto shall, where <br />possible, accrue pro rata to the City, pursuant to a transition agreement to be <br />negotiated at such time by and between the City, the Commission and the <br />Grantee. The total burden of Grantee's obligations under this Franchise and the <br />Grantee's Franchise with the other member cities of the Commission shall not be <br />increased as a result of any such withdrawal. <br />1.2.9 "CPI" means the annual average of the Consumer Price Index for all Urban <br />Consumers (CPI -U) for the Minneapolis -St. Paul CMSA, as published by the <br />Bureau of Labor Statistics. <br />1.2.10 "Droll"' means the cable that connects the ground block on the Subscriber's <br />residence or institution to the nearest feeder cable of the System. <br />1.2.11 "Educational Access Channel" or "Educational Channel" means any channel <br />on the System set aside by the Grantee for Noncommercial educational use by <br />educational institutions, as contemplated by applicable law. <br />1.2.12 "FCC" means the Federal Communications Commission, its designee, and any <br />legally appointed, designated or elected agent or successor. <br />1.2.13 "Franchise" or "Cable Franchise" means this ordinance, as may be amended <br />from time to time, any exhibits attached hereto and made a part hereof, and the <br />regulatory and contractual relationship established hereby. <br />1.2.14 "Governmental Access Channel" or "Governmental Channel" means any <br />channel on the System set aside by the Grantee for Noncommercial use by the <br />City or its delegatee. <br />1.2.15 "Grantee" is Qwest Broadband Services, Inc., d/b/a CenturyLink, and its lawful <br />successors, transferees or assignees. <br />1.2.16 "Gross Revenues" means any and all revenues arising from or attributable to, or <br />in any way derived directly or indirectly by the Grantee or its Affiliates, <br />subsidiaries, or parent, or by any other entity that is a cable operator of the <br />System, from the operation of the Grantee's System to provide Cable Services <br />(including cash, credits, property or other consideration of any kind or nature). <br />Gross Revenues include, by way of illustration and not limitation, monthly fees <br />charged to Subscribers for any basic, optional, premium, per -channel, or per - <br />3 <br />
