<br /> 2 <br />419290v2 LN140 -109 <br />AGREEMENT <br /> <br /> <br /> 1.0. D efinitions . In this Agreement, unless a different meaning clearly appears from the <br />context: <br /> <br /> (a) “Adjacent Parcel” means the property described as Lot 4, The Village No. 4, <br />according to the recorded plat thereof, Anoka County, Minnesota. <br /> <br /> (b ) “Agreeme nt” means this Agreement, as the same may be from time to time <br />modified, amended, or supplemented. <br /> <br /> (c ) “Certificate of Completion” means the certification provided to the <br />Developer, substantially in the form attached as Exhibit B to this Agreement, purs uant to <br />Section 17.4 of this Agreement. <br /> <br /> (d ) “EDA” means the Lino Lakes Economic Development Authority. <br /> <br /> (e ) “County” means the County of Anoka , Minnesota. <br /> <br /> (f ) “Date of Closing” has the meaning provided in Section 9 hereof . <br /> <br /> (g ) “Developer” means Lino Lakes Assisted Living, LLC, or its permitted <br />successors and assigns. <br /> <br /> (h ) “Event of Default” means an action by the Developer listed in Section 1 5 of <br />this Agreement. <br /> <br /> (i ) “Holder” means the owner of a Mortgage. <br /> <br /> (j ) “Letter of Intent” means the letter between the EDA and County attached <br />hereto as Exhibit C. <br /> <br /> (k ) “Material” means any effect or change which significantly alters the <br />intended use of the Property, or increases or decreases the costs of any individual item of the <br />Minimum Improvement s by more than $100,000. <br /> <br /> (l) “Maturity Date” means the date that the that all the following obligations <br />have all been paid in full, redeemed or prepaid, or defeased in accordance with their terms: the <br />City’s $4,215,000 General Obligation Tax Increment B onds, Series 2007A; the EDA’s $1,000,000 <br />Taxable Tax Increment Revenue Note, Series 2004, dated December 21, 2004; and the Authority’s <br />Interfund Loan approved by Resolution No. 04 -07, in the original principal amount of $950,000 <br />(reflecting adjustment in p rincipal amount as of October 28, 2005). <br /> <br /> <br />
