The terms of Sections 7 and 17 shall survive <br />closing. <br /> <br /> <br /> 17 .0 Construction of Minimum Improvements . <br /> <br /> 17 .1. Construction of Minimum Improvements . (a) The Developer agrees <br />that it will construct the Minimum Improvements on the Property in acco rdance with <br />the approved plans and specifications, and at all times prior to the Termination Date <br />will operate and maintain, preserve, and keep the Minimum Improvements, or cause <br />the Minimum Improvements to be maintained, preserved, and kept, with the <br />appu rtenances and every part and parcel thereof, in good repair and condition. The <br />EDA shall not have any obligation to operate or maintain the Minimum <br />Improvements. <br /> <br /> (b) The Developer will construct the Minimum Improvements in <br />accordance with all local, St ate, and federal energy -conservation laws or regulations. <br /> <br /> (c) The Developer will obtain, in a timely manner, all required permits, <br />licenses, and approvals, and will meet, in a timely manner, all requirements of all <br />applicable local, State, and federal l aws and regulations which must be obtained or <br />met before the Minimum Improvements may be lawfully constructed, including, <br />without limitation, the requirements of any necessary special use permits. <br /> <br /> (d) The Developer shall promptly advise the EDA in writi ng of all <br />litigation or claims affecting any part of the Minimum Improvements and all written <br />complaints and charges made by any governmental authority materially affecting the <br />Minimum Improvements or materially affecting Developer or its business which <br />ma y delay or require changes in construction of the Minimum Improvements. <br /> <br /> 17 .2. Plans and Specifications . The Developer has submitted, and the EDA <br />hereby approves for the purposes of Minnesota Statutes, Section 469.105, subd. 7 , <br />the general plans and sp ecifications for the Minimum Improvements in the form on <br />file in City Hall. These plans and specifications include a site plan and elevations. <br />Nothing in this section constitutes approval of detailed construction plans required in <br />order to obtain build ing permits. Developer shall submit such plans in accordance <br />with City ordinances and procedures. <br /> <br /> 17 .3. Commencement and Completion of Construction . Subject to <br />Unavoidable Delays, the Developer shall commence construction of the Minimum <br />Improvements within 90 days after the Date of Closing, and shall substantially <br />complete the construction of the Minimum Improvements by December 3 1, 20 14. <br />All work with respect to the Minimum Improvements to be constructed or provided <br />by the Developer on the Property shall be in conformity with the plans and <br />specifications as submitted by the Developer and approved by the EDA. <br />
