2 <br />parties hereto from the other parties hereto, the receipt and sufficiency of which is he reby <br />acknowledged by each of the parties hereto, it is agreed as follows: <br /> <br /> 1. All of the Authority’s now existing or hereafter arising rights, title and <br />interests in and to the Property under the Purchase and Redevelopment <br />Agreement, including, without limitation, all reversionary rights provided for in <br />the deed given by the Authori ty to Borrower s in accordance with that agreement, <br />s hall be, and hereby are made, subject and subordinate at all times and in all <br />respects to the lien of the Lender Mortgage, and all renewals, modifications, <br />extensions, substitutions, replacements and/or c onsolidations thereof and the lien <br />of the Lender Mortgage shall be, and hereby is made, prior and superior to the <br />Authority’s rights, interest and remedies under the Purchase and Redevelopment <br />Agreement. <br /> <br /> 2. Authority shall not without the prior written c onsent of the Lender take <br />any action to enforce any reversionary rights it may now or hereafter have in the <br />Property, whether pursuant to the Purchase and Redevelopment Agreement or <br />otherwise unless all obligations secured by the Lender Mortgage have been paid <br />and satisfied in full. <br /> <br /> 3. The priorities set forth herein shall be binding irrespective of (a) the fact <br />of or the timing of any filing, recording or other method of perfecting such <br />mortgage lien interests; or (b) any contrary priority established pu rsuant to <br />applicable statutes or regulations. <br /> <br /> 4. In the event Lender forecloses its lien under the Lender Mortgage or <br />accepts a deed in lieu of foreclosure, all rights, interests and remedies of the <br />Authority with respect to the Property under the Purcha se and Redevelopment <br />Agreement shall cease and terminate and will be deemed released of record. <br /> <br /> 5. So long as the Lender Mortgage is outstanding, neither the Authority nor <br />the Borrower shall amend or modify any term, covenant or condition of the <br />Purchas e and Redevelopment Agreement that materially and aversely affects <br />Lender’s interest in the Property without the Lender’s prior written consent. <br /> <br /> 6. The rights and obligations hereunder of Borrower, Authority and Lender <br />shall bind and inure to the benefi t of their respective successors and assigns. <br /> <br /> 7. Borrower and Lender, or their successors or assigns, may alter, extend, <br />change, modify, waive or release any of the terms, covenants and conditions <br />contained in the Lender Mortgage without in any manner af fecting this <br />Agreement or releasing Authority from the effect hereof, all without any further <br />consent or agreement of Authority. <br /> <br />8. This Agreement may be signed by different parties on different counterpart copies <br />hereof, and said counterparts shall toget her constitute a single agreement.
