8.5. Reports and Maps to be Filed with City. <br />8.5.1 The Grantee shall file with the City, at the time of payment of the Franchise Fee, a <br />report of all Gross Revenues in a form and substance as required by the City or <br />the Commission. <br />8.5.2 The Grantee shall prepare and furnish to the City or the Commission, at the times <br />and in the form prescribed, such other reports with respect to Grantee's operations <br />pursuant to this Franchise as the City or the Commission may require. The City <br />and the Commission shall use their best efforts to protect proprietary or trade <br />secret information all consistent with State and federal law. <br />8.5.3 If required by the City and/or the Commission, the Grantee shall furnish to and <br />file with the City and/or the Commission the maps, plats and permanent records <br />of the location and character of all facilities constructed, including underground <br />facilities, and Grantee shall file with the City and/or the Commission updates of <br />such maps, plats and permanent records annually if changes have been made in <br />the System, the I -Net and/or the DFOI. <br />8.6. Periodic Evaluation. <br />8.6.1 The City may require evaluation sessions at any time during the term of this <br />Franchise, upon fifteen (15) days written notice to the Grantee. <br />8.6.2 Topics which may be discussed at any evaluation session may include, but are not <br />limited to, application of new technologies, System, I -Net and DFOI performance, <br />programming offered, access channels, facilities and support, municipal uses of <br />cable, Subscriber rates, customer complaints, amendments to this Franchise, <br />judicial rulings, FCC rulings, line extension policies and any other topics the City <br />deems relevant. <br />8.6.3 As a result of a periodic review or evaluation session, upon notification from City, <br />Grantee shall meet with City and undertake good faith efforts to reach agreement <br />on changes and modifications to the terms and conditions of the Franchise which <br />are both economically and technically feasible. <br />51 <br />
