fulfillment of all of the terms of this Agreement. <br /> 4. Termination, Delays and Liquidated Damages . <br /> a. Termination of Agreement. If the Contractor <br /> refuses or fails to prosecute the work with such diligence as <br /> will insure its completion within the time specified in this <br /> Agreement, the City, by written notice to the Contractor, may <br /> terminate the Contractor' s right to proceed with the work. <br /> Upon such termination, the City may take over the work and <br /> prosecute the same to completion, by contract or otherwise, <br /> and the Contractor and its sureties shall be liable to the <br /> City for damages for any delay in the completion of the work <br /> as provided herein. If the Contractor' s right to proceed is <br /> terminated, the City may take possession of and utilize in <br /> completing the work such materials , tools and equipment as <br /> may be on the site of the work and necessary therefore. <br /> 5 . Permits and Codes . <br /> a. The Contractor shall give all notices required by <br /> and comply with all applicable laws, ordinances, rules , <br /> regulations and codes of the City and the State of Minnesota. <br /> b . The Contractor shall comply with the applicable <br /> laws, ordinances, rules, regulations governing the disposal <br /> of materials, debris, rubbish and trash on or off the area, <br /> and shall commit no unauthorized trespass on any public or <br /> private property in any operation due to or in connection <br /> with the services to be provided under this Agreement. <br /> C. The Contractor, at his own expense, shall comply <br /> with all requirements of public service corporations with <br />
