3 (C) . Powers and Duties. The respective officers of the <br /> corporation shall have such powers and duties as generally pertain <br /> to their several offices or as the Board of Directors shall from <br /> time to time prescribe . Specifically (but without in any way <br /> limiting the power of the Board) , unless the Board changes their <br /> respective powers or duties or prescribes different or additional <br /> powers or duties, the president of the corporation shall preside at <br /> all meetings of the members of the corporation, the Board of Direc- <br /> tors , and the executive committee, shall be the chief executive <br /> officer of the corporation, and shall be ex-officio a member of all <br /> standing committees of the Board, and he or she may, in the name of <br /> the corporation (either alone or together with another officer or <br /> officers) execute and deliver any deeds, mortgages, bonds, con- <br /> tracts, or other written instruments pertaining to the business of <br /> affairs of the corporation; keep corporate records and minutes, and <br /> seal , AND appoint committees. ( , ) T(t)he respective vice-presi- <br /> dents, in the order designated at the times of their election to <br /> office (or in the absence of such designation, in the order in <br /> which they were originally elected) shall succeed to the powers and <br /> duties of the president in the event of his or her absence or <br /> disability and (if they are directors of the corporation, but not <br /> otherwise) to the office of president in the event of the presi- <br /> dent's resignation or death; the secretary (or in the event of his <br /> or her absence, disability, resignation, or death, the assistant <br /> secretaries, if any, in the order in which they were elected) shall <br /> give all required notices of, attend, act as secretary of, and keep <br /> proper minutes of all meetings of the members, the Board of Direc- <br /> tors, and shall have power to affix the corporate seal to any <br />
