7 <br /> <br /> <br />8. Interim Responsibilities of Seller. Between the Effective Date and the Closing <br />Date, Seller shall, at Seller’s expense: <br />a operate, maintain and keep insured the Property in a reasonable, diligent <br />and prudent manner; <br />b except as expressly provided herein, not remove any Improvements on the <br />Property, including signage, and keep the Property in its present physical <br />condition, reasonable wear and tear excepted; <br />c not encumber the Property and not enter into any lease of all or any portion <br />of the Property nor permit any occupancy of all or any portion of the <br />Property without Buyer’s prior written consent; <br />d comply with all applicable arrangements referred to in this Agreement; <br />e Seller shall cooperate with Buyer in filing and pursuing governmental <br />approvals and in seeking and making application for plat, curb cuts, zoning, <br />licenses and permits as determined necessary by Buyer, provided such <br />cooperation is at no cost or expense to Seller, and provided Seller has the <br />right to approve or deny on the merits any governmental approvals required <br />by it for Buyer’s intended project; <br />f if Buyer determines it necessary for its intended use of the Property, Buyer, <br />at Buyer’s sole cost and expense, may use reasonable efforts to secure a <br />final plat approval of the Property and to record the plat of the Property in <br />the real property records (the “Plat”). Seller, at no cost or expense to <br />Seller, hereby agrees that it will, whenever and as often as reasonably <br />requested to do so by Buyer execute, acknowledge and deliver or cause to <br />be executed, acknowledged and delivered any and all such plats, <br />instruments, consents, and any other documents as might be reasonably <br />necessary, expedient or proper, in the reasonable opinion of Buyer, to <br />complete or assist in securing the Plat. <br /> <br />9. Easements and RCA. <br /> <br />(a) In the event Buyer requests or requires modifications to any existing <br />recorded instruments or access easement agreements affecting the Property, or Buyer <br />requests or requires any new utility, grading, drainage, and/or access easement <br />agreement(s), for Buyer’s intended development of the Property or to protect Buyer’s <br />interests, Seller shall reasonably cooperate with Buyer in Buyer’s efforts to obtain same. <br /> <br />(b) Buyer and Seller acknowledge and agree that they will negotiate and agree <br />upon a new drainage easement (the “Drainage Easement”) between the Buyer and Seller <br />to be executed at Closing, which will address drainage over the existing ponding area in <br />the southeast corner of the Property for Lake Drive stormwater management. Buyer shall <br />provide Seller with an initial draft of the Drainage Easement for review and comment. <br />Buyer and Seller shall work together in good faith to mutually agree upon the final
